This Exchange Agent & Depositary Agreement (this “Agreement”) is entered into as of this [ ] day of [ ], 2010 by and between Aquilex Holdings LLC, a Delaware limited liability company (“Aquilex Holdings”), Aquilex Finance Corp., a Delaware corporation (“Aquilex Finance”, and together with Aquilex Holdings, the “Issuers”) and Wilmington Trust FSB, a federal savings bank having its corporate trust offices in Minneapolis, Minnesota (hereinafter referred to from time to time as “Wilmington Trust”).
