This MASTER PURCHASE AND SALE AGREEMENT (the “Agreement”) is entered into as of August 31, 2010 by and between PerkinElmer, Inc., a Massachusetts corporation (“PKI”), and IDS Acquisition Corp., a Delaware corporation (“Buyer”).
