Morgan Investment Management Inc., 245 Park Avenue, New York, New York 10167 (“Seller”) and SSTI Acquisitions, LLC, a Delaware limited liability company, having an address at 111 Corporate Drive, Suite 210, Ladera Ranch, California 92694 (“Purchaser”).
