THIS SEVERANCE AND CHANGE IN CONTROL AGREEMENT (the “Agreement”), made this 13th day of September, 2010 (the “Effective Date”), is entered into by AVEO Pharmaceuticals, Inc., a Delaware corporation with its principal place of business at 75 Sidney Street, 4th Floor, Cambridge, MA 02139 (the “Company”), and Michael Bailey, residing at 181 Nubble Road, York, Maine 03909 (the “Employee”).
