Subject to the approval of the Compensation Committee of the Board of Directors of Yahoo! (“Compensation Committee”), if you (1) sign and comply with the terms of this separation agreement (the “Agreement”), which contains a release of claims, and (2) return your signed Agreement to Yahoo! Human Resources by the deadline specified in this Agreement (collectively these are the “Agreement Eligibility Requirements”), then Yahoo! will continue to employ you through the Separation Date specified below (unless you resign prior to that date) and will pay you a payment as described below in paragraph 3.
