THIS CHANGE-IN-CONTROL SEVERANCE AGREEMENT (the “Agreement”) is made and is effective as of November 1, 2010 (the “Effective Date”), by and between KINDRED HEALTHCARE OPERATING, INC., a Delaware corporation (or as appropriate, one of its indirect subsidiaries) (the “Company”) and Jeffrey P.
