This SECOND AMENDMENT TO INVESTMENT AGREEMENT dated as of November 5, 2010 (this “Amendment”) is by and between GeoMet, Inc., a Delaware corporation (the “Company”), and Sherwood Energy, LLC, a Delaware limited liability company (the “Investor”).
