THIS AGREEMENT AND PLAN OF REORGANIZATION dated as of 2010, is by and among RiverSource International Managers Series, Inc., a Minnesota corporation (the “Acquired Company”), on behalf RiverSource Partners International Select Growth Fund and RiverSource Partners International Small Cap Fund, each a series thereof (each an “Acquired Fund”), Columbia Acorn Trust, a Massachusetts business truss (the “Acquiring Company”), on behalf of Acorn International (the “Acquiring Fund”), and, for purposes of Sections 4.3, 4.4, 6.3 and 9.2 of this Agreement, Columbia Management Investment Advisers, LLC (“Columbia”).
