AGREEMENT, dated as of October 15, 2010, between iShares, Inc., a Maryland corporation, iShares MSCI Russia Capped Index Fund, Inc., a Maryland corporation, iShares MSCI Emerging Markets Small Cap Index Fund, Inc. a Maryland corporation, and iShares Trust, a Delaware statutory trust (each singly and together, the “Company”), acting on behalf of the funds listed on Schedule A hereto and any future series or portfolio of the Company (each, a “Fund”), and BlackRock Institutional Trust Company, N.A., a national banking association (“BTC”) and its successors.
