AMENDED AND RESTATED CREDIT AGREEMENT, dated as of December 2, 2010, among tw telecom inc., a Delaware corporation (formerly known as Time Warner Telecom Inc.) (“TWTC”), tw telecom holdings inc., a Delaware corporation (formerly known as Time Warner Telecom Holdings Inc.) (the “Borrower”), the several banks and other financial institutions or entities from time to time parties to this Agreement as lenders (the “Lenders”), CREDIT SUISSE AG, CAYMAN ISLANDS BRANCH, as syndication agent (in such capacity, the “Syndication Agent”), and MORGAN STANLEY BANK, N.A., as documentation agent (in such capacity, the “Documentation Agent”) and WELLS FARGO BANK, NATIONAL ASSOCIATION (successor by merger to Wachovia Bank, National Association) (“Wells Fargo”), as administrative agent (in such capacity, the “Administrative Agent”), and as collateral agent (in such capacity, the “Collateral Agent”).
