AGREEMENT, dated as of October 15, 2010, between iShares, Inc., a Maryland corporation, iShares MSCI Russia Capped Index Fund, Inc., a Maryland corporation, iShares MSCI Emerging Markets Small Cap Index Fund, Inc. a Maryland corporation, and iShares Trust, a Delaware statutory trust (each singly and together, the “Company”), acting on behalf of the funds listed on Schedule A hereto and any future series or portfolio of the Company (each, a “Fund”), and BlackRock Institutional Trust Company, N.A., a national banking association (“BTC”) and its successors.

This MASTER ADVISORY FEE WAIVER AGREEMENT (this “Agreement”) is made effective as of the 1st day of December, 2009, by and between BlackRock Fund Advisors (the “Adviser”) and iShares, Inc. (the “Company”), on behalf of each of its series from time to time set forth in Schedule A attached hereto (each, a “Fund”).
