This REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of December 30, 2010, by and between McMoRan Exploration Co., a Delaware corporation (“McMoRan”), and Plains Exploration & Production Company, a Delaware corporation (“PXP”). McMoRan and PXP are sometimes referred to collectively as the “Parties” and individually as a “Party.”
