This REGISTRATION RIGHTS AGREEMENT dated January 21, 2011 (this “Agreement”) is entered into by and among Elizabeth Arden, Inc., a Florida corporation (the “Company”), and J.P. Morgan Securities LLC (“J.P. Morgan”), as representative of the several Initial Purchasers listed on Schedule I hereto (the “Initial Purchasers”).
