This Operating Agreement (this “Agreement”) of JALOU SPRINGHILL, LLC, a limited liability company organized pursuant to the laws of the State of Louisiana, is made effective as of August 29, 2006 by Gameco Holdings, Inc., a Delaware corporation, the sole Member (the “Member”), of JALOU SPRINGHILL, LLC (the “Company” as defined herein).
