Akorri Networks, Inc. (the “Company”) hereby grants you, (the “Participant”), an award of restricted stock units (“Restricted Stock Units”) under the Akorri Networks, Inc. 2010 Equity Incentive Plan (the “Plan”) effective as of immediately prior to the closing of the transactions contemplated by that certain Agreement and Plan of Merger dated sometime in the month of February 2011 by and among the Company, NetApp, Inc. and Akorri Merger Sub, Inc. (such transactions, the “Merger,” such agreement, the “Merger Agreement” and such date, the “Effective Date”).
