This employment agreement (the “Employment Agreement”) is made as of the 9th day of February, 2011 between ASBURY AUTOMOTIVE GROUP, INC., a Delaware Corporation (the “Company”), and Michael Kearney (“Executive”). The Company and Executive desire to enter into an employment agreement setting forth the terms and conditions of Executive’s employment.

This SECOND AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into effective as of February 9, 2011, between Asbury Automotive Group, Inc., a Delaware corporation (the “Company”), and Charles Oglesby, an individual resident of the State of Georgia (the “Executive”).
