This Severance and Change in Control Agreement (this “Agreement”) amends the employment letter agreement dated August 18, 2008 (the “Prior Agreement”), by and between Atheros Communications, Inc. (the “Company”) and you. This Agreement supersedes any written or verbal relating to severance payments and benefits, including payments and benefits upon termination in the event of a change in control of the Company.
