This EMPLOYMENT AGREEMENT (“Agreement”), is entered into between LEAPFROG ENTERPRISES, INC., a Delaware corporation (the “Company”), and JOHN BARBOUR (“Executive”) and shall be deemed effective as of March 7, 2011 (the “Effective Date”).
