This PHASE 1 CONTRACT SERVICES AGREEMENT (“Agreement”) is made and entered into as of this October 6, 2010 (“Effective Date”) by and between Toyota Motor Corporation, a Japanese corporation, with offices at 1 Toyota-cho, Toyota, Aichi 471-8571, Japan (“TMC”), and Tesla Motors, Inc., a Delaware corporation, with offices at 3500 Deer Creek Road, Palo Alto, CA 94304, U.S.A. (“Tesla”). TMC and Tesla may be referred to herein each individually as a “Party” and collectively as the “Parties”.
