THIS AGREEMENT (the “Agreement” ) is made effective the 16th day of February, 2011, by and between Quantum Fuel Systems Technologies Worldwide, Inc., a Delaware Corporation (the “Company”), and WB QT, LLC, a Delaware limited liability company, for itself and as agent for its affiliates (“WB”).

This Access and Security Agreement (the “Agreement”) is being entered into as of this 14th day of February, 2011, between Quantum Fuel Systems Technologies Worldwide, Inc., a Delaware corporation, on behalf of itself and its affiliates and subsidiaries (“Supplier”), on the one hand, and General Motors Holdings LLC, a Delaware limited liability company, on behalf of itself and its subsidiaries and affiliates (“GM” or the “Customer”), on the other hand.

General Motors Holdings LLC, on behalf of itself and its subsidiaries and affiliates (collectively, “GM”) and Quantum Fuel Systems Technologies Worldwide Inc., on behalf of itself and its subsidiaries and affiliates (collectively, “Supplier”) enter into this Agreement in Support of Development Program (the “Agreement”) on February 14, 2011 (the “Effective Date”). GM and Supplier are collectively referred to herein as the “Parties” and individually, as a “Party”.
