THIS PLEDGE AND SECURITY AGREEMENT, dated as of March 2, 2011 (as the same may from time to time be further amended, restated, supplemented or otherwise modified, this “Agreement”), is entered into among OYO GEOSPACE CORPORATION, a Delaware corporation (herein, together with its successors and assigns, the “Borrower”), EACH OF THE DOMESTIC SUBSIDIARIES OF THE BORROWER identified on Schedule 1 hereto (each such Domestic Subsidiary, together with the Borrower and any other Person that becomes a party hereto as a Grantor hereunder pursuant to Section 7.12, and each of their respective successors and assigns, collectively, the “Grantors” and, individually, “Grantor”), and THE FROST NATIONAL BANK, a national banking association (the “Lender”).

THIS FIRST AMENDMENT TO LOAN AGREEMENT (this “Amendment”) is entered into as of the 2nd day of March, 2011, by and among OYO GEOSPACE CORPORATION, a Delaware corporation (“Borrower”), EACH OF THE DOMESTIC SUBSIDIARIES OF THE BORROWER identified on Schedule 1 hereto (collectively, “Guarantor”), and THE FROST NATIONAL BANK, a national banking association (“Lender”).
