THIS FOURTH AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF PENN VIRGINIA RESOURCE PARTNERS, L.P., dated as of March 10, 2011 and effective as of the Effective Time, is entered into by Penn Virginia Resource GP, LLC, a Delaware limited liability company, as the General Partner and as attorney in fact for the Limited Partners, together with any other Persons who become Partners in the Partnership or parties hereto as provided herein. In consideration of the covenants, conditions and agreements contained herein, the parties hereto hereby amend and restate the Third Amended and Restated Agreement of Limited Partnership of the Partnership, dated as of August 5, 2008, as heretofore amended (the “Third Agreement”), to provide, in its entirety, as follows:

THIS SIXTH AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) of Penn Virginia Resource GP, LLC, a Delaware limited liability company (the “Company”), dated as of March 10, 2011 and effective at the Effective Time, is between PVR Radnor, LLC, a Delaware limited liability company, as the initial PVR Member, Peabody Energy Corporation, a Delaware corporation, as the special member of the Company (“Peabody” or the “Special Member”), and Penn Virginia Resource Partners, L.P., a Delaware limited partnership (the “MLP”). Capitalized terms used in this Agreement and not otherwise defined are used as defined in Section 1.01 of this Agreement.
