This AGREEMENT (this “Agreement”) is entered into as of August 12, 2009 by and between United Bank, a federally chartered stock saving bank (the “Bank”), and Charles Valade. This Agreement shall be effective on the “Closing Date” (as such term is defined in the Agreement and Plan of Merger, dated as of June 25, 2009, between United Financial Bancorp, Inc., a Maryland corporation (the “Company”), and CNB Financial Corp., a Massachusetts corporation).

THIS AMENDMENT is adopted this 10th day of November 2010, by and between UNITED BANK, a federally-chartered stock savings bank (the “Bank”), and Charlie Valade (the “Executive”).

This AGREEMENT is made effective as of August 12, 2009, by and between UNITED BANK, a federally chartered stock savings bank (the “Bank”), and CHARLES VALADE (“Executive”). Any reference to the “Company” herein shall mean UNITED FINANCIAL BANCORP, INC., or any successor thereto. The Company has executed this Agreement solely for purposes of guaranteeing the performance of the Bank hereunder.
