This Amended Employment Agreement (“Agreement”) is entered into this 8th day of March 2011 (the “Effective Date”) by and between PRO-PHARMACEUTICALS, INC., a Nevada corporation, having its principal executive office at 7 Wells Avenue, Suite 34, Newton, Massachusetts (the “Company”), and MAUREEN E. FOLEY, an individual residing at 46 Pond Circle, Jamaica Plain, Massachusetts (the “Executive”).
