This EXPENSE LIMITATION AGREEMENT (the “Agreement”) is entered into effective as of February 15, 2011 by and between Wasatch Advisors, Inc. (the “Advisor”) and Wasatch Funds Trust (the “Company”), on behalf of the Wasatch Emerging India Fund (the “Fund”).
