Citigroup Insurance Holding Corporation, a corporation organized under the laws of the State of Georgia (“CIHC”), proposes to sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for whom you (the “Representative”) are acting as Representative, 12,000,000 shares of common stock, $0.01 par value (“Common Stock”) of Primerica, Inc., a corporation organized under the laws of the State of Delaware (the “Company”) (said shares to be sold by CIHC, collectively, being hereinafter called the “Underwritten Securities”).
