(the “Agreement”), we hereby notify you of our intention to retain you as Transfer Agent and Dividend Disbursing Agent to render such services to ING Australia Index Portfolio (the “Portfolio”), a newly established series of ING Variable Portfolios, Inc., effective on or about February 28, 2011, upon all of the terms and conditions set forth in the Agreement. Upon your acceptance, the Agreement will be modified to give effect to the foregoing by adding the above-mentioned Portfolio to the Amended Exhibit A of the Agreement. This Amendment, effective as of February 8, 2011, amends the Transfer Agency Agreement (the “Agreement”) dated the 25th day of February, 2009, by and between PNC Global Investment Servicing (U.S.) Inc., now known as BNY Mellon Investment Servicing (US) Inc. , a Massachusetts corporation (“BNYM”), and each of the registered investment companies (each, a “Fund”) on behalf of all series thereof (each, a “Portfolio”) listed on Exhibit “A” of the Agreement, as amended from time to time.
