This Support Agreement (this “Agreement”) is made and entered into as of April 29, 2011 by and among YRC Worldwide Inc. (“YRC”) and all of its direct and indirect domestic subsidiaries (collectively, the “Company” or “Companies”) and the Teamsters National Freight Industry Negotiating Committee (“TNFINC”) of the International Brotherhood of Teamsters (the “IBT”). The Company and TNFINC are collectively referred to herein as the “Parties” and individually as a “Party.”

This letter agreement (this “Agreement”) sets forth certain terms and conditions pursuant to which YRC Worldwide Inc. (“YRCW”) and all of its direct and indirect subsidiaries (collectively, the “Company” or “Companies”) proposes a restructuring (the “Restructuring”) of the Company’s outstanding obligations under the Existing Credit Agreement, the ABS Facility and the Contribution Deferral Agreement (each as defined below) by way of an out-of-court transaction (a “Transaction”) on the terms and subject to the conditions set forth in the Transaction Documents (as defined below), with the support of the undersigned Persons signatory hereto in such party’s capacity as party to that certain Credit Agreement (the “Existing Credit Agreement”) dated August 17, 2007, as amended, modified or supplemented from time to time, by and among YRCW as borrower, the lenders from time to time party thereto as lenders (the “Participating Lenders” and each Lender under the Existing Credit Agreement is gener
