THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of May 3, 2011 (the “Effective Date”) among SILICON VALLEY BANK, a California corporation (“Bank”), EDGAR® ONLINE, INC., a Delaware corporation (“EOI”) and UBMATRIX, INC., a Washington corporation (“UBM”; each of EOI and UBM are individually and collectively referred to herein as the “Borrower”), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank.
