This Agreement, dated as of May 12, 2011, is among Cardinal Health, Inc., an Ohio corporation (the “Company”), certain Subsidiaries of the Company (the “Subsidiary Borrowers”, and together with the Company, the “Borrowers”), each lender party hereto from time to time (the “Lenders”) and JPMorgan Chase Bank, N.A. as Administrative Agent, Swingline Lender and LC Issuer.
