This CREDIT AGREEMENT (this “Agreement”) is entered into as of May 10, 2011, among iGATE CORPORATION, a Pennsylvania corporation (the “Borrower”), the banks, financial institutions and other institutional lenders party hereto (each, a “Lender”; together with any other person that becomes a Lender hereunder pursuant to Section 10.07, the “Lenders”), DBS BANK LTD., SINGAPORE (“DBS”), as administrative agent (or any successor appointed pursuant to Section 9.10, the “Administrative Agent”) for the Lenders and the other Secured Parties (each as hereinafter defined), and DBS BANK LTD., BANGALORE BRANCH, as lead arranger (the “Lead Arranger”).
