This RESX Distributor Agreement (the “Agreement”) is entered into as of the 1st day of January 2009 (“Effective Date”) between TRX Technology Services, L.P. d/b/a RESX Technologies (“TRX”), a Georgia limited partnership with its principal place of business at 7557 Rambler Road, Suite 1300 Dallas, TX 75231, USA and BCD Travel USA LLC (“Client” or “BCD”), a Georgia limited liability company, having its principal place of business at Six Concourse Parkway, Suite 2400, Atlanta, GA 30328, USA. For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

This Amendment 1, effective as of the 1st day of January 2011 (“Effective Date”), amends the RESX Distributor Agreement (the “Agreement”) dated January 1, 2009, as amended, by and between TRX Technology Services, L.P. (“TRX”) and BCD Travel USA LLC (“BCD” or “Client”) as follows:

This Amendment No. 1 (the “Amendment”) is dated and effective as of January 1, 2011 (“Effective Date”), by and between Expedia, Inc. (“Expedia”), and TRX, Inc., a Georgia corporation, and TRX Germany GmbH (together, “TRX”). The parties previously entered into an Amended and Restated Statement of Work dated January 1, 2008 (the “Statement of Work”) pursuant to the Master Services Agreement between TRX and Expedia, Inc. dated January 1, 2007 as amended (the “Agreement”). The parties now desire to further amend the Statement of Work, on the terms set forth below:
