THIS AGREEMENT OF LIMITED PARTNERSHIP OF CNL INCOME PARTNERS, LP (this “Agreement”), dated as of September 23, 2004, is entered into by and between CNL Income GP Corp., a Delaware corporation, as the general partner of the Partnership (the “General Partner”), and CNL Income LP Corp., a Delaware corporation, as the limited partner of the Partnership (the “Initial Limited Partner”, and, together with the General Partner, and together with any other Persons whose names are set forth on Exhibit A, attached hereto, as such may be amended from time to time, the “Partners”).

THIS FOURTH AMENDMENT TO OMNIBUS LEASE RESOLUTION AGREEMENT (this “Fourth Amendment”) is entered into as of April 6, 2011 and made effective as of January 1, 2011, by and among (i) PREMIER GOLF MANAGEMENT, INC., a Delaware corporation (“PGMI”), (ii) JOE R.
