This Purchase Agreement between diaDexus, Inc. (“diaDexus”) and Health Diagnostics Laboratory located at 737 N. 5th Street, Richmond, VA 23219 and any or all of its subsidiaries or affiliates (“Lab”), sets forth the terms and conditions upon which diaDexus will sell to Lab, and Lab will purchase, various products (the “Agreement”). This 2011 Special Programs Addendum to the Distribution Agreement (the “Addendum”) is effective as of January 1, 2011 (the “Addendum Effective Date”), by and between diaDexus, Inc. THIS DISTRIBUTION AGREEMENT (the “Agreement”) is effective as of the day of January 1, 2011 (the “Effective Date”) by and between Inova Diagnostics, Inc. a California corporation with offices located at 9900 Old Grove Road, San Diego, CA 92131 (“DISTRIBUTOR”), and diaDexus, Inc., a Delaware corporation with its principal place of business at 343 Oyster Point Blvd., South San Francisco, CA 94080, USA (“DIADEXUS”), for the purpose of defining the rights and duties of the parties in connection with the distribution by DISTRIBUTOR of DIADEXUS products.
