THIS LOAN AGREEMENT (as amended, modified or supplemented from time to time, this “Agreement”), dated as of the 12th day of July, 2011, is made by and between BCL ECLIPSE, LLC, a Delaware limited liability company (“Lender”), and COMSTOCK POTOMAC YARD, L.C., a Virginia limited liability company (“Borrower”).

This Registration Rights Agreement (this “Agreement”) is made and entered into as of July 12, 2011, by and between Comstock Homebuilding Companies, Inc., a Delaware corporation (the “Issuer”), and BridgeCom Development I, LLC, a Delaware limited liability company (“BDI”).

This GUARANTY, PLEDGE AND SECURITY AGREEMENT (this “Guaranty”) is made as of the 12th day of July, 2011, by COMSTOCK HOMEBUILDING COMPANIES, INC (“Comstock”) and COMSTOCK EMERALD FARM, L.C. (together, “Guarantors”), both having an address of 11465 Sunset Hills Road, 4th Floor, Reston, VA 20190, to and for the benefit of BCL ECLIPSE, LLC (“Lender”). As set forth in the joinder attached to this Guaranty, COMSTOCK PENDERBROOK, L.C. also shall execute this Guaranty as a joinder party to this Guaranty.
