NOTE PURCHASE AGREEMENT, dated as of July 15, 2011, by and among COMPUTERSHARE TRUST COMPANY OF CANADA in its capacity as trustee of GMF CANADA LEASING TRUST, an Ontario trust (the “Issuer”), FINANCIALINX CORPORATION (“FinanciaLinx”, individually, and in its capacity as servicer, the “Servicer”), GM FINANCIAL CANADA LEASING LTD.
