THIS EMPLOYMENT AGREEMENT (“Agreement”) is made by and among CONTINENTAL AIRLINES, INC., a Delaware corporation (“Company”), UNITED CONTINENTAL HOLDINGS, INC., a Delaware corporation and the parent company of Company (“UCH”), and ROBERT S. EDWARDS (“Employee”), and is dated and effective as of May 1, 2011 (the “Effective Date”).

This Separation Agreement (“Agreement”) is entered into by and among UNITED AIR LINES, INC., a Delaware corporation (“Company”), UNITED CONTINENTAL HOLDINGS, INC., a Delaware corporation and the parent company of Company (“UCH”), and R. KEITH HALBERT (“Employee”), and arises out of Employee’s severance from employment with Company on April 30, 2011 (the “Separation Date”).
