THIS EMPLOYMENT AGREEMENT (this “Agreement”) is entered into as of July 6, 2011, by and among PetroAlgae Inc., a Delaware corporation (the “Company”), PA LLC, a Delaware limited liability company and the Company’s sole operating subsidiary (“PA LLC”), and Peter Sherlock (“Executive”). Unless the context otherwise requires, references to the “Company” shall include the Company and PA LLC.
