This Amended and Restated Change in Control and Severance Agreement (the “Agreement”) is made and entered into by and between (“Executive”) and RealNetworks, Inc., a Washington corporation (the “Company”), effective as of May , 2011 (the “Effective Date”). The Agreement replaces the Change in Control and Severance Agreement previously entered into between Executive and the Company, which was dated , 2010.

Performance Restricted Stock Units Terms and Conditions (the “Agreement”) made and entered into as of the effective date (the “Grant Date”) set forth in the Notice of Grant of Performance Restricted Stock Units and Performance Restricted Stock Units Agreement attached hereto (the “Notice of Grant”), by and between RealNetworks, Inc., a Washington corporation (the “Company”), and you (the “Participant”) pursuant to the RealNetworks, Inc. 2005 Stock Incentive Plan (the “Plan”). Capitalized terms not defined in this Agreement have the meanings ascribed to them in the Plan.
