THIS AMENDED AND RESTATED LIMITED LIABILITY COMPANY OPERATING AGREEMENT (this “Agreement”) is made and entered into as of the 13th day of December, 2005 (the “Effective Date”), by and between Spansion Inc., a Delaware corporation (“Spansion Member”), and Spansion Technology Inc., a Delaware corporation and a wholly-owned subsidiary of Spansion Member (“STI Member”), for the purpose of amending and restating the terms of the Amended and Restated Limited Liability Company Operating Agreement dated as of June 30, 2003, as amended by that First Amendment, dated May 20, 2005 and that Second Amendment, dated December 12, 2005 (the “Original Agreement”) of Spansion LLC (the “Company”), a limited liability company organized under the Delaware Limited Liability Company Act, as amended from time to time (the “Act”).
