This letter is being delivered to Solway Investment Group Limited (“Solway”), Solway Industries Ltd. (“Acquireco 1”) and Solway FeNi AS (“Acquireco 2”, and collectively with Solway and Acquireco 1, the “Purchasers”) pursuant to the Purchase Agreement (the “Agreement”) dated August 5, 2011 among the Purchasers, HudBay Minerals Inc. (“HudBay”), HMI Nickel Inc. (“HMI Nickel”), 6502873 Canada Inc. (“Canco” and collectively with HudBay and HMI Nickel, the “Vendors”) and HMI Nickel Coöperatief U.A.
