CREDIT AGREEMENT, dated as of September 23, 2011, among THE WESTERN UNION COMPANY, a Delaware corporation (the “Company”), the several banks and other financial institutions from time to time parties to this Agreement (the “Banks”), WELLS FARGO BANK, NATIONAL ASSOCIATION, in its capacity as the Swing Line Bank (in such capacity, together with its successors in such capacity, the “Swing Line Bank”), WELLS FARGO BANK, NATIONAL ASSOCIATION, CITIBANK, N.A. and JPMORGAN CHASE BANK, N.A., in their respective capacities as Issuing Lenders (in such capacity, each together with its successors in such capacity, an “Issuing Lender”), CITIBANK, N.A. and JPMORGAN CHASE BANK, N.A., as Syndication Agents (in such capacities, the “Syndication Agents”), BANK OF AMERICA, N.A., BARCLAYS BANK PLC and U.S. BANK NATIONAL ASSOCIATION, as Documentation Agents, and WELLS FARGO BANK, NATIONAL ASSOCIATION, as administrative agent for the Banks hereunder (in such capacity, the “Administrative Agent”).
