THIS CREDIT AGREEMENT (this “Agreement”) is made and entered into as of September 30, 2011 by and among KNOXVILLE HMA HOLDINGS, LLC, a Tennessee limited liability company (the “Borrower”), the Guarantors (defined herein), the Lenders (defined herein), and SUNTRUST BANK, in its capacity as administrative agent for the Lenders (the “Administrative Agent”), as Issuing Bank and as Swingline Lender.

THIS SECURITY AGREEMENT, dated as of September 30, 2011, is made by KNOXVILLE HMA HOLDINGS, LLC, a Tennessee limited liability company (the “Borrower”), and certain Subsidiaries of the Borrower identified on the signature pages hereto as “Grantors” (together with the Borrower and any other Subsidiary of the Borrower that becomes a party hereto from time to time after the date hereof, each, a “Grantor” and, collectively, the “Grantors”), in favor of SUNTRUST BANK, as administrative agent (in such capacity, together with its successors in such capacity, the “Administrative Agent”) for the Secured Parties (as defined below).
