This LICENSE AGREEMENT (this “Agreement”) is made and entered into effective as of September 18, 2009 (the “Effective Date”), by and between Eli Lilly and Company, a corporation, incorporated under the laws of the State of Indiana, having its principal place of business at Lilly Corporate Center, Indianapolis, Indiana, and its Affiliates (hereinafter collectively referred to as “Lilly”), and Adolor Corporation, a corporation incorporated under the laws of Delaware, having its principal place of business at 700 Pennsylvania Drive, Exton, PA (“Adolor,” together with Lilly sometimes hereinafter individually referred to as a “Party” and collectively referred to as the “Parties”).
