This Amended and Restated Executive Employment Agreement (the “Agreement”) is made and entered into by and between Jeffrey Tobias (the “Executive”) and NeurogesX, Inc., a Delaware Corporation (the “Company”), effective as of September 19, 2011 (the “Effective Date”).

This Consulting Agreement (this “Agreement”) is entered into as of September 27, 2011 by and between NeurogesX, Inc., a Delaware corporation (the “Company”), and Jeffrey Tobias, M.D., as of October 16, 2011, a former employee and executive of the Company (“Consultant”). The Company desires to retain Consultant as an independent contractor to perform certain limited consulting services for the Company, and Consultant is willing to perform such limited services, on the terms described below.
