THIS EMPLOYMENT AGREEMENT (“Agreement”) is made and entered into as of the 2nd day of November 2011, by and between MAGELLAN PETROLEUM CORPORATION, a Delaware corporation (“Magellan” or the “Company”) and J. Thomas Wilson, an individual residing at 55 W. 12th Ave., Unit 409, Denver 80204 (the “Executive”). Each of the Company and the Executive are individually referred to herein as a “Party” and collectively as the “Parties.”

This Restricted Stock Award Agreement evidences the award of shares of restricted common stock, par value $0.01 per share (the “Common Stock”) of Magellan Petroleum Corporation (the “Company”) to the individual whose name appears below (the “Grantee”), pursuant to the provisions of the Company’s 1998 Stock Incentive Plan, as may be amended from time to time (the “Plan”), and on the following express terms and conditions (capitalized terms not otherwise defined herein shall have the meaning set forth in the Plan):

Terms used but not defined herein shall have the same meaning as in the Plan.
