This Registration Rights Agreement (this “Agreement”) is made and entered into as of November 28, 2011, by and among Netflix, Inc., a Delaware corporation (the “Company”) TCV VII, L.P., a Cayman Island exempted limited partnership (“TCV VII”), TCV VII (A), a Cayman Island exempted limited partnership (“TCV VII (A)”), and TCV Member Fund, L.P., a Cayman Island exempted limited partnership (“TCV Member Fund”, and together with TCV VII and TCV VII(A), the “Investors”).
