THIS AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of December 9, 2011 (the “Effective Date”) between SILICON VALLEY BANK, a California corporation (“Bank”), and GIGOPTIX, INC., a Delaware corporation (“GigOptix”), CHIPX, INCORPORATED, a Delaware corporation (“ChipX” and together with GigOptix, the “Existing Borrowers”), and ENDWAVE CORPORATION, a Delaware corporation (“Endwave” and together with the Existing Borrowers, individually and collectively, jointly and severally, “Borrower”), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank.
