THIS UNDERWRITING AGREEMENT made this 1st day of December 2011, by and between GWFS Equities, Inc. (hereinafter the “Underwriter”) and First Great-West Life & Annuity Insurance Company (hereinafter the “Insurance Company”), on its own behalf and on behalf of the Variable Annuity-2 Series Account of First Great-West Life & Annuity Insurance Company (hereinafter the “Series Account”), as follows:

THIS AMENDMENT TO FUND PARTICIPATION AGREEMENT is made as of this 8th day of November, 2011, by and among The Alger Portfolios (formerly The Alger American Fund), Fred Alger Management, Inc., Fred Alger & Company, Incorporated and First Great-West Life & Annuity Insurance Company (“First Great-West”) ( collectively, the “Parties”).
