THIS LIMITED LIABILITY COMPANY OPERATING AGREEMENT (this “Agreement”) is dated as of December 28, 2011, by and among PEGASUS FUNDING, LLC, a Delaware limited liability company (the “Company”) and those members set forth on Exhibit A attached hereto, as such exhibit may be amended from time to time (each, a “Member” and collectively, the “Members”). Max Alperovich (“Alperovich”) and Alexander Khanas (“Khanas”) are joining this Agreement with the intention to be legally bound solely by Sections 6.5, 6.9, 6.21, 6.22, 6.23 and 14.16 hereof. Piccolo is joining this Agreement with the intention to be legally bound by Section 3.9(c), 14.16 and 14.19 hereof. Asta Funding, Inc.(“Asta”), by its execution of this Agreement shall guaranty the funding obligations of Fund Pegasus, LLC (“Lender”) under Section 3.9 hereof and shall also be bound solely by Sections 1.9, 6.22, 6.23, 14.1 and 14.17 . It is understood that ASFI Pegasus Holdings, LLC (“ASFI”) along with Lender and Asta are referred to, as
